PURPOSE OF THE AGREEMENT

Client wishes to hire Designer to provide services relating to Client’s web services as detailed in this Agreement. Designer has agreed to provide such services according to the terms of this Agreement.

SERVICES

Designer shall provide Client with the following services and/or products ("Services"): WEB SERVICES 

 

 

COST, FEES AND PAYMENTS

The total cost ("Total Cost") for all Services due on the said due dates. Client shall pay the Total Cost to Designer as part of each WEB SERVICES payment. The payment terms are as follows.

Fees are paid directly to our Web Hosting Partner to reserve your space on the web and to pay for your web services. 

Web hosting or other service fees may increase yearly & are subject to change.

WEB DESIGN PAYMENTS

• All design fees may be paid in full, or a payment plan is available.

• Deposit must be made prior to start of project.  

• The balance may be split in two equal payments.

• All Instructional Design, Web Design and Branding Projects require a 50% deposit.

• Late payments could result in your site’s shutdown

• All payments are non-refundable.

• For unfinished projects, your balance may be transferred to studio credit.

 

CREATIVE CONTENT MANAGEMENT & MONTHLY PAYMENT MANAGEMENT PAYMENTS

• All WEB SERVICES PAYMENT MANAGEMENT & CREATIVE CONTENT MANAGEMENT payments must be made by due date. Late payments may result in your site’s shutdown.

• Monthly hosting payments managed by us require a fixed payment agreement. ​Monthly hosting fees are NON-NEGOTABLE.

• Monthly Plan Payment dates are not flexible; all payments are due by the 1st of every month.

• Payment must be made prior to monthly services being rendered.

• Payments not made by the 7th of every month will require a $10.00 late fee. 

• For all sites that are disconnected due to non-payment, a $50.00 reconnect fee is required to reconnect your site to the server.

WEB HOSTING PARTNER

WEB HOSTING is now offered exclusively via our Web Hosting Partner, WIX.

Fees are paid to our Web Hosting Partner to reserve your space on the web.

Taxes are paid on website plan fees. Web hosting or other service fees may increase yearly & are subject to change.

WEB PAYMENT MANAGEMENT PLAN 

The service fee for payment management is $5.00 per month. 

You pay us, we pay our Web Hosting Partner.

PAY VIA INVOICE

• Payments currently accepted via your personalized invoice.

• To pay via invoice, please open the invoice you received via email and follow prompts for payment.

DUE DATE 

All clients must now pay by the 1st of every month for the upcoming month. For example, March 1, 2022, will pay for the month of March & so forth.

LATE PAYMENTS

RECONNECTION FEE

For all sites that are disconnected due to non-payment, a $50.00 reconnect fee is required to reconnect your site to the server.

INVOICES

Hosting payments are automatically invoiced as MONTHLY PAYMENTS.

HOSTING FOR ONLINE STORES & BOOKING SITES

The hosting fees for online stores and booking will vary based on site services. You will receive a 20% discount if paid yearly. Monthly/yearly pricing will vary and is subject to change.

As of January 2022, Personalized Email pricing is currently $8.50 per month.

The yearly domain fee is $25.

PROJECT TIMEFRAMES
•    All projects must be completed & paid for within 6 months of project start date. 
•    Failure to complete payment within 6 months will result in your project being terminated. 
•    As a courtesy, for unfinished projects, you will be given a credit for the amount you paid for web design fees only.
•    Credit cannot be given for domain or hosting fees. 
•    There is no guarantee of web design pricing when you restart your project. 
•    Restarting a project requires new invoicing. 
•    Studio pricing is subject to change yearly. 
•    Your credit with the studio will be issued in the form of a coupon code and will expire 2 years after credit is issued.

TECHNICAL SUPPORT

Our WEB DESIGN services include installing your site on the server of our WEB HOSTING PARTNER, WIX, which is a 3rd Party Cloub-Based server for web hosting; ongoing management of that server, plus any support issues are often left to the Hosting Partner & are not the responsibility of the Designer.

 

If you are under the WEB PAYMENT MANAGEMENT PLAN and your site is down, we may, as a convenience, file a maintenance ticket. Any repairs completed by us will require maintenance fees. Our standard fee is $50.00 per hour.

 

If your site has been transferred to you, you are solely responsible for securing maintenance for your site. You may contact the service provider directly for repairs or you may contact us at: infinitycreativesuite@gmail.com for site repairs or issues. Our standard fee is $50.00 per hour.

However, you may also secure MONTHLY CREATIVE CONTENT MANAGEMENT. This service requires a separate pricing and service agreement (please refer to the Pricing Schedule below).

Under a Monthly Content Management plan, we will include technical support, which will include contacting the 3rd party company, for technical issues, website repairs, web site hosting, email or other services relating to web site hosting. This agreement will be subject to 3rd Party company hours of operation and their responsiveness to issues. This will be further detailed in the Monthly Content Management agreement. 

Infinity Creative Suite (Iconz Studios) is not the hosting company; we Partner with the hosting company. Therefore, we can't fully guarantee that the functions of the web site will always be error-free.

 

Under the MONTHLY CREATIVE CONTENT MANAGEMENT PLAN, Infinity Creative Suite (Iconz Studios) will work to fix errors when they arise but can't be liable to you or any third party for damages, including lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate your web site and any other web pages, even if you have advised us of the possibilities of such damages.

Payments: Client pay monthly (or yearly) to INFINITY CREATIVE SUITE (ICONZ STUDIOS) to our Web Hosting Partner via our Web Payment Management plan. The Web Payment Management plan fee is currently $5 per month. Pricing is subject to change. 

 

CHANGES TO YOUR WEBSITE

Unless otherwise provided herein, Client shall pay additional charges for all changes requested by Client which are outside the Scope of the Services on a time and materials basis, at Designer’s standard hourly of $50.00 per hour, or in an amount on the Creative Fees & Upgrade Fee Schedule.  Such charges shall be in addition to all other amounts payable under this Agreement despite any maximum budget, contract price or final price identified therein. For standard charges, please see the CREATIVE SUITE PRICE LIST for standard fees. Designer may extend or modify any delivery schedule or deadline as required by such Changes. You may choose MONTHLY CREATIVE CONTENT MANAGEMENT PLAN for ongoing services or choose from the DESIGN FEE SCHEDULE for one-time DESIGN UPGRADES & CHANGES. See pricing below. 

 

MONTHLY CREATIVE CONTENT MANAGEMENT PLAN

Infinity Creative Suite maintains administrative access for all sites for paid updates or paid changes.

You may pay us to provide monthly content services.

• Blog Writing & Management

• Site Management

SITE TRANSFERS

You may also choose to have your site transferred to you to manage your own payments.

When transferred, client may not make any cosmetic changes to the site. Transfers are made for the purpose of making payments, managing stores, and managing booking only, not for design changes. Please refer to copyright information and permitted uses below. 

 

For all sites that have been transferred:

• Infinity Creative Suite maintains administrative access for all sites for paid updates or changes. 

• Site repairs are $50.00 per hour.

• Please refer to the DESIGN & UPDATES FEE SCHEDULE for pricing for content upgrade and changes for your site.

 

Copyrights (Intellectual Property)

Infinity Creative Suite (Iconz Studios) as Designer will be displayed on the bottom of your website.

You guarantee to us that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide us for inclusion in the web site are either owned by you, or that you have permission to use them and that You will not hold Us responsible for any third-party claims.

When we receive your final payment, copyright is automatically assigned as follows:

You own text content, photographs and other data you provided, unless someone else owns them.

You own the deliverable; however, Infinity Creative Suite (Iconz Studios) owns the designs used in this project. We own any copyrightable work, ideas, inventions, products, or other information that We create in connection with the Services We are providing.  We guarantee that We have the legal right to all elements related to the Services We are providing and will not hold You responsible for any third-party claims.

You may not alter or have anyone else alter our work. Please see Permitted Uses of Product(s) below.

Infinity Creative Suite (Iconz Studios) loves to show off our work and share what we have learned with other people, so we also reserve the right to display and link to your completed project as part of our portfolio and to write about the project on web sites, social media, in magazine articles and other outlets.

 

Permitted Uses of Product(s)

Designer grants to Client a non-exclusive license of product(s) produced with and for Client for personal/business use only so long as Client provides Designer with attribution each time Client uses Designer's property. Personal/business use includes, but is not limited to, use within the following contexts:

1. Client may not copy, duplicate, distribute, republish, or incorporate the Deliverables or allow others to copy, duplicate, distribute, republish or incorporate or use the Project. 

2. Client may not crop, distort, manipulate, reconfigure, mimic, animate, create derivative works or extract portions or in any other manner, alter the Final Art. All copyright, trademarks, design rights and other intellectual property (registered and unregistered) shall remain vested in Designer. The Client agrees that such proprietary material is solely for Client’s own personal/business use. 

3. Any disclosure to a third party, copying or republishing any portion of the Deliverable or its contents is strictly prohibited and constitutes infringement.

 

Project Completion/Timeline 

Most projects typically take 2-6 months.

There is a change in how we must complete projects. Now, under our new service provider, the maximum time allowed for open projects is 1 year. After 1 year, the project pipeline will be closed, and all payments will be converted to studio credit. 

If you have an open project, let's meet so you can decide to continue or close your project. 

 

Complete Terms

Infinity Creative Suite (Iconz Studios) aims to please and will go above and beyond to supply the finished product and/or services you desire.

 

However, if you're not happy with the finished product, please remember that payments are non-refundable, and the client is responsible for paying for the work or services Infinity Creative Suite (Iconz Studios) has produced.

If you are unhappy with the finished product or services, You may continue to commission us to make further design or service revisions at the rates set in our pricing schedule.

This Agreement puts the Parties entire understanding of the Services to be performed and anything else the Parties have agreed to. This Agreement supersedes any other written or verbal communications between the Parties.  Any subsequent changes to this Agreement must be made in writing and signed by both Parties.

You cannot transfer these terms to anyone else without our permission. These terms stay in place and need not be renewed. If for some reason one part of these terms becomes invalid or unenforceable, the remaining parts of it remain in place.

 

General Provisions

The laws of the United States govern all matters arising out of or relating to this Agreement, including torts.

 

Severability

If any portion of this Agreement is deemed to be illegal or unenforceable, the remaining provisions of this Agreement remain in full force.

 

Notice

This Agreement constitutes the final, exclusive agreement between the parties relating to the Services contained in this Agreement. All earlier and contemporaneous negotiations and agreements between the parties on the matters contained in this Agreement are expressly merged into and superseded by this Agreement.

Amendment

The parties may amend this Agreement only by the parties’ written consent via proper Notice.
